2020 Annual General Meeting

Dear Society Members,

As a supporter and member of the PuSh International Performing Arts Festival Society, you are invited to the Annual General Meeting (AGM) on Sunday, March 7, 2021. This AGM relates to the 2020 fiscal year (May 1, 2019–April 30, 2020).

Your membership to the society was included with your recent donation (minimum $20) or your volunteer contributions, and you are eligible to vote at the Annual General Meeting.

At this Annual General Meeting, a motion will be put forward to pass a Special Resolution of the Membership on borrowing. The motion can be found below. Copies of all material will also be shared onscreen during the AGM.

Please RSVP by 5 p.m. PST, March 1, 2021, to receive the Zoom link and meeting package including financial statements, which will be sent by email on March 3, 2021.

Special Resolution of the Membership

As a non-profit Society and Registered Charity, the Board of Directors forms the core of the PuSh International Performing Arts Festival Society governance model. As per the Society’s bylaws, Directors are elected for two-year terms. PuSh directors have both collective and individual responsibilities. Active engagement in support of the organization’s vision, mission, purposes, and values is expected. The Board provides governance and oversight to the organization and, in collaboration with staff, sets the organization’s strategic plan. Board activities and responsibilities include, among others, developing and implementing policy, supporting staff in community engagement, ensuring fiscal prudence, risk management, attending PuSh programming, and participating in fundraising activities.  

Any member interested in running for election to the board must nominate themselves in advance by submitting their expression of interest by 5 p.m. on March 1, 2021. Expressions of interest will be vetted only to ensure that the individual is a member in good standing. Members who have submitted their expression of interest will be put forward for election at the AGM. Nominees must be present at the AGM in order to be elected. Please note, nominations from the floor will not be accepted at the AGM.  

Members who are interested in serving as a Director on the Board of Directors must submit their expression of interest by using this form by 5 p.m. PST on March 1, 2021.

Special Resolution of the Membership

Whereas:

The Society may, from time to time, borrow money and it is the intention of the Members that the Society borrow from Vancouver City Savings Credit Union (the “Lender”) and to grant security therefore.

Now be it resolved that;

1. The Society borrow from the Lender, such amounts and upon such terms and conditions as may be determined, from time to time, by the Directors of the Society.

2. The Society hereby grants to the Directors of the Society for a period of one year from the date of these Special Resolutions the authority to grant to the Lender such security, for loans made by the Lender to the Society, as may be required, from time to time, by the Lender, including, without limitation, mortgages of real property (including all the indebtedness mortgages), assignments of rent, general security agreements, demand promissory notes, business operating loan agreements, and any security which is otherwise included within the definition of “debenture” under the Business Corporations Act of British Columbia.
